Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the Learning Cortex website at learningcortex.com, the CortexGPA browser extension, the Learning Cortex mobile application, and any related services we offer (collectively, the “Services”). The Services are provided by Learning Cortex (“we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility and Accounts
You must be at least 13 years old to use the Services. If you are between 13 and the age of majority in your jurisdiction, you may use the Services only with the consent of a parent or legal guardian.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information when creating an account and to keep that information up to date.
2. Description of the Services
The Services help you track your study sessions, identify strengths and weaknesses, generate personalized flashcards and quizzes, and surface predicted exam scores. The CortexGPA browser extension is designed to capture study-related content from a page only when you explicitly initiate a capture action, as described in our Privacy Policy.
3. Acceptable Use
You agree that you will not, and will not attempt to:
- Use the Services in any manner that violates any applicable law, regulation, or third-party right, including intellectual property rights;
- Use the Services to access, capture, store, distribute, or otherwise process content that you do not have the right to use, including copyrighted material for which you lack a valid license;
- Use the Services to engage in cheating, academic dishonesty, exam fraud, or any other form of academic misconduct, or in any manner that violates an honor code, academic integrity policy, or examination rule applicable to you;
- Use the Services to compete with us or to build a similar or competing product or service;
- Systematically retrieve content from the Services to create a database, compilation, or derivative work without our prior written permission;
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Services, except to the extent applicable law expressly permits;
- Interfere with, disrupt, or impose an unreasonable load on the Services, our infrastructure, or any third-party systems that interoperate with the Services; or
- Use any automated means (including bots, scrapers, or crawlers) to access the Services other than through interfaces we expressly make available.
4. Your Submissions
The Services allow you to submit content, including pages captured via the CortexGPA extension, files you upload, notes, and chat messages (collectively, “Submissions”).
You represent and warrant that:
- Each Submission is either original to you or you have all rights, licenses, consents, and permissions necessary to submit it to the Services and to grant us the license described below;
- Your Submissions do not contain confidential information of any third party, infringe any intellectual property right, or violate any contractual obligation (including the terms of service of any platform from which the content originates); and
- Your Submissions comply with all applicable laws and with these Terms.
You retain ownership of your Submissions. You grant Learning Cortex a non-exclusive, royalty-free, worldwide license to host, store, reproduce, modify, create derivative works from, and process your Submissions solely as necessary to operate, provide, and improve the Services for you, including generating study insights, flashcards, quizzes, and embeddings.
You are solely responsible for your Submissions. We do not pre-screen Submissions and are not responsible for their accuracy, legality, or appropriateness.
5. Third-Party Platforms and Services
The Services, including the CortexGPA extension, may be used in connection with third-party websites, learning management systems, question banks, paid study platforms, AI assistants, and other services (collectively, “Third-Party Platforms”). We do not own, operate, or control Third-Party Platforms, and we are not responsible for their content, policies, availability, accuracy, or practices.
You are solely responsible for complying with the terms of service, acceptable use policies, academic integrity rules, license agreements, and other terms that govern your access to and use of any Third-Party Platform. We are not responsible for any violations of those terms, policies, or rules that may occur as a result of your use of the Services, and we make no representation that your use of the Services in connection with any particular Third-Party Platform is authorized by that platform.
If a Third-Party Platform restricts or prohibits third-party tools, automated extraction, or the capture of its content, you are responsible for ensuring that your use of the Services on that platform is permitted. We may, at our discretion, restrict or disable functionality of the Services on any Third-Party Platform without notice.
6. Academic Integrity
The Services are intended to support legitimate study, review, and self-assessment. You may not use the Services during, in preparation for in a manner that violates the rules of, or to obtain unauthorized assistance on, any examination, assessment, assignment, or other academic activity where such use is prohibited by your institution, instructor, exam administrator, or licensing body. You are solely responsible for understanding and complying with the academic integrity rules, honor codes, and examination policies applicable to you.
7. Subscriptions and Payment
Certain features of the Services are available only to paid subscribers (“Cortex Pro”). By subscribing, you authorize us and our payment processors to charge the applicable fees and any taxes to your payment method on a recurring basis until you cancel. Subscriptions renew automatically at the end of each billing period unless you cancel before renewal. Except where required by law, fees are non-refundable.
8. Intellectual Property
The Services, including all software, source code, designs, graphics, text, models, prompts, databases, and other materials, and all intellectual property rights in them, are owned by Learning Cortex or its licensors and are protected by copyright, trademark, and other laws. Except for the limited right to use the Services in accordance with these Terms, we grant you no rights or licenses, express or implied, in any of our intellectual property.
9. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Learning Cortex disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We make no warranty that the Services will meet your requirements, that any predicted scores or insights are accurate, or that any captured content will be processed without error.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will Learning Cortex, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Services. Our aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amount you paid us for the Services in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).
11. Indemnification
You agree to defend, indemnify, and hold harmless Learning Cortex and its affiliates, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your access to or use of the Services, (b) your Submissions, (c) your violation of these Terms, (d) your violation of the terms, policies, or rules of any Third-Party Platform, or (e) your violation of any law or the rights of any third party.
12. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason or for no reason, including if we believe you have violated these Terms or if required to do so by law. You may terminate your use of the Services at any time by deleting your account as described in our Privacy Policy.
Provisions of these Terms that by their nature should survive termination will survive, including the Submissions license, intellectual property provisions, disclaimers, limitation of liability, indemnification, and dispute-resolution provisions.
13. Changes to the Services and Terms
We may modify, suspend, or discontinue all or any part of the Services at any time without notice. We may also update these Terms from time to time. If we make material changes, we will notify you by updating the “Effective Date” at the top of these Terms and, where appropriate, by other means. Your continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
15. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Learning Cortex regarding the Services and supersede any prior agreements. Our failure to enforce any provision of these Terms will not constitute a waiver of that provision. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. You may not assign these Terms without our prior written consent; we may assign them freely.
